1. General Information

The website therravia.com (hereinafter referred to as the “Website”) is owned and operated by SPRISE S.R.L. (hereinafter referred to as the “Seller” or “Therravia”), a Romanian legal entity with the following identification details:

Use of the Website, creation of an account and/or placement of an order implies full and unconditional acceptance of these Terms and Conditions. If you do not agree with these terms, please do not use the Website.

2. Definitions

Website – the therravia.com domain and its subdomains;

Buyer / Customer – an individual aged at least 18 or a legal entity that places an order on the Website;

Consumer – an individual acting for purposes outside their trade, industrial, production, craft or professional activity, in accordance with Romanian Government Ordinance 21/1992 and Emergency Ordinance 34/2014;

Order – the electronic document through which the Buyer expresses their intention to purchase Products from the Website;

Products – the goods listed on the Website that are the subject of the Order;

Contract – the distance contract concluded between the Seller and the Buyer without the simultaneous physical presence of the parties, in accordance with Emergency Ordinance 34/2014.

3. Contractual Documents

By placing an Order on the Website, the Buyer agrees to the means of distance communication (email, telephone) through which the Seller conducts its operations. The Order placed by the Buyer constitutes an offer to purchase. The Contract is considered concluded when the Seller sends confirmation that the Order has been dispatched by email. The automatic notification confirming receipt of the Order does not constitute acceptance thereof.

The Seller reserves the right to refuse or cancel an Order, with notification to the Buyer and without further obligations between the parties, in situations including: products being out of stock, obvious pricing or Product display errors, incomplete or incorrect delivery information, reasonable suspicion of fraud, or failure to complete payment in the case of bank transfer. Any amounts already collected for cancelled Orders will be refunded in full within a maximum of 14 calendar days.

4. Products and Prices

The Seller makes every effort to provide accurate and complete information about the Products on the Website, including descriptions, photographs and specifications. Images are for presentation purposes, and minor differences in colour or appearance between the images and the delivered product may occur without affecting its essential characteristics.

All prices displayed on the Website are expressed in Romanian lei (RON) and include VAT. The applicable price is the price displayed on the Website at the time the Order is placed. The Seller may change prices at any time without affecting Orders that have already been confirmed. The Seller does not require a minimum Order value.

5. Payment Methods

The Buyer may pay for the Order using one of the following methods:

Online bank card – payment is processed securely through the Website’s payment processor. Card details are not stored on the Seller’s servers.

Cash on delivery – payment is made in full to the courier upon delivery.

Bank transfer – the payment details are provided by email after the Order is placed; the Order is dispatched after payment has been confirmed.

The tax invoice is issued based on the information provided by the Buyer and is sent electronically to the email address specified in the Order. The Buyer is responsible for ensuring that the billing information provided is accurate.

6. Delivery

Delivery is free throughout Romania, regardless of the Order value.

Delivery is carried out by express courier companies within 24–48 hours from confirmation of the Order (or from confirmation of payment in the case of bank transfer). The delivery period is calculated in business days.

In exceptional circumstances (severe weather conditions, peak periods, force majeure), the delivery period may be extended, in which case the Buyer will be informed accordingly.

The risk of loss or damage to the Products passes to the Buyer when the Buyer (or a third party designated by the Buyer, other than the courier) takes physical possession of the Products.

Upon receiving the parcel, the Buyer is advised to check the integrity of the packaging. Any visible damage should be reported to the courier and the Seller at [email protected] as soon as possible.

7. Right of Withdrawal (Returns)

In accordance with Emergency Ordinance 34/2014, the Consumer has the legal right to withdraw from the Contract within 14 calendar days without having to provide a reason. Therravia extends this period and offers a 30-calendar-day return period from the date the Consumer takes possession of the Products.

Returns are free of charge – the transportation costs for returning the Products are borne by the Seller, in accordance with the return instructions provided by the Seller.

Return procedure:

The Consumer must notify the Seller within the 30-day period by means of an unequivocal statement sent to [email protected] (the Consumer may use the model form provided in Annex 1, although this is not mandatory).

The Seller will provide return instructions and arrange collection or shipment of the parcel.

Products must be returned within a maximum of 14 days from notification of the decision to withdraw, complete with all accessories and, where possible, in their original packaging.

All amounts received will be refunded within a maximum of 14 calendar days from the date the Seller is informed of the decision to withdraw, using the same payment method used for the Order (or another method agreed with the Consumer, without additional costs). The Seller may withhold the refund until the Products have been received or until proof of shipment has been provided.

The Consumer is responsible only for any diminished value of the Products resulting from handling beyond what is necessary to establish their nature, characteristics and functionality.

Exceptions to the right of withdrawal (in accordance with Article 16 of Emergency Ordinance 34/2014) include, among others: Products made to the Buyer’s specifications or clearly personalised; Products liable to deteriorate or expire rapidly; sealed Products that are not suitable for return due to health protection or hygiene reasons and that have been unsealed after delivery; Products that, after delivery, have become inseparably mixed with other items.

The right of withdrawal does not apply to legal entities.

8. Warranties and Conformity

All Products sold on the Website benefit from the statutory guarantee of conformity under Emergency Ordinance 140/2021. The Seller is liable to the Consumer for any lack of conformity existing at the time of delivery and identified within two years from that date (or within the validity period/average expected period of use for Products with a shorter lifespan).

In the event of non-conformity, the Consumer is entitled, subject to the conditions provided by law, to have the Product brought into conformity (repair or replacement), to receive an appropriate price reduction, or to terminate the Contract and receive a refund. Claims regarding non-conformity should be sent to [email protected] together with proof of purchase.

9. Liability

The Seller is not liable for damages resulting from improper use of the Products contrary to their intended purpose or instructions. The Seller makes reasonable efforts to ensure the continuous operation of the Website but does not guarantee the absence of errors, interruptions or technical vulnerabilities and is not liable for indirect damages resulting from temporary inability to use the Website.

The information provided on the Website is for informational purposes and does not replace professional advice where such advice is necessary.

10. Intellectual Property

All Website content – including text, images, graphics, logos, design elements and databases – is owned by the Seller or its partners and is protected by copyright and intellectual property laws. Copying, reproducing, distributing or using the content for commercial purposes without the Seller’s prior written consent is prohibited.

11. Processing of Personal Data

The processing of Website users’ personal data is carried out in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation. Full details regarding the categories of data processed, purposes, legal bases, retention periods, recipients and data subject rights are available in the Privacy Policy published on the Website at therravia.com/confidentialitate. 12. Force Majeure

Neither party shall be liable for failure to perform its contractual obligations where such failure is caused by an event of force majeure within the meaning of Romanian law (an external, unforeseeable, absolutely unavoidable and inevitable event). The party invoking force majeure shall notify the other party within five days of the occurrence of the event and shall take reasonable measures to limit its consequences.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by Romanian law. Any dispute shall first be resolved amicably; failing this, disputes shall fall under the jurisdiction of the competent Romanian courts in accordance with the law.

Consumers may contact the Romanian National Authority for Consumer Protection (ANPC) and may use the alternative dispute resolution (ADR) mechanism.

14. Changes to the Terms and Conditions

The Seller reserves the right to amend these Terms and Conditions at any time. The updated version will be published on the Website together with the date of the latest update. Orders are subject to the version in force at the time they are placed.
