Terms and Conditions

This document sets out the terms and conditions for using the website www.sprise.ro, as well as the conditions applicable to the order, payment, delivery, and return processes for products sold by SPRISE SRL. Use of the site and placing an order imply full acceptance of these Terms and Conditions. Please read this document carefully before using the site or placing an order.

1. Seller Identification Data

2. Definitions

In this document, the following terms have the meanings below:

  • Seller – SPRISE SRL, the operator of the website www.sprise.ro.
  • Client / Buyer – any natural or legal person who places an order on the site.
  • Site – the online platform accessible at www.sprise.ro.
  • Order – the Client's firm request to purchase one or more products from the Site.
  • Contract – the distance contract concluded between the Seller and the Client, without the simultaneous physical presence of the parties.
  • Product – any goods sold on the Site.

3. Object of the Contract

The distance contract is considered concluded between the Client and the Seller when SPRISE SRL confirms the order via email. By placing an order, the Client confirms that they have read, understood, and fully accepted the Terms and Conditions of this site.

The contract is concluded in Romanian and is governed by Romanian law.

4. Capacity to Contract

To place an order on the site, the Client must:

  • be at least 18 years old or have full legal capacity according to the law;
  • provide correct, complete, and updated data when placing the order;
  • have a valid email address and a functional phone number for communication related to the order.

The Seller is not responsible for consequences arising from the Client providing incorrect, incomplete, or false data.

5. Products and Availability

Products sold on www.sprise.ro are consumer goods, presented for informational purposes through descriptions, images, and technical specifications.

There may be minor differences between the images displayed on the site and the delivered product (e.g., color shades, slight design variations depending on the manufacturing batch). These differences do not constitute a reason for non-conformity.

Product availability is displayed on the site and is valid within the limits of existing stock. If an ordered product is no longer available, the Seller will inform the Client as soon as possible and will offer the option of canceling the order or replacing it with a similar product.

6. Order Placement and Confirmation Process

Placing an order is done through the following steps:

  1. The Client selects the desired products and adds them to the shopping cart.
  2. The Client fills in the delivery and billing details.
  3. The Client chooses the payment method.
  4. The Client confirms the order by pressing the checkout button.
  5. The Client receives an automatic confirmation of order receipt via email.
  6. The Seller verifies product availability and sends a final order confirmation via email or phone.

The order is considered accepted upon final confirmation by the Seller. Until then, the Seller reserves the right to refuse or modify the order in justified situations.

7. Order Cancellation by the Client

The Client can request cancellation of the order before it is shipped, without additional costs, by email at comenzi@sprise.ro, mentioning the order number.

After the package has been shipped, cancellation is no longer possible, but the Client can exercise their right of withdrawal according to section 11 (Return Policy).

8. Prices and Payment Methods

Prices displayed on the site are expressed in lei (RON) and include VAT according to current legislation. The delivery cost, displayed separately at checkout, is added to the price of the products.

The applicable price is the one displayed on the site at the time of placing the order. SPRISE SRL reserves the right to update prices without prior notice, but any change after the order has been placed does not affect the already confirmed price.

Available payment methods:

  • Online payment by bank card (debit/credit) – the transaction is processed through the payment processor, under secure conditions. SPRISE SRL does not store bank card data.
  • Cash on delivery – cash or card, depending on the courier's options.

In the case of online payment, if the transaction is refused by the issuing bank, the order will not be processed, and the Client will be notified.

9. Invoicing

For each order, SPRISE SRL issues an electronic tax invoice, which is sent to the Client via email and/or included in the package. The Client is obliged to provide correct billing data. Subsequent changes to the invoice can be requested by email at comenzi@sprise.ro, within the limits permitted by tax legislation.

10. Delivery

Orders are processed and handed over to the courier within a maximum of 2 working days from their confirmation.

Delivery takes place within 1–2 working days from the courier picking up the package.

Non-working days and public holidays are not included in the processing and delivery times.

Delivery is made exclusively on the territory of Romania, by express courier.

The delivery cost is 14.99 lei per order, applicable nationwide.

If the recipient is not found at the delivery address, the courier will try to contact them to arrange a new delivery. If delivery cannot be made after several attempts, the package will be returned to the Seller, and the order will be canceled. Additional costs generated by failed deliveries due to the Client's fault may be borne by the Client.

The risk of loss or damage to the products transfers to the Client at the time of physical handover of the package.

11. Right of Withdrawal and Return Policy

According to OUG no. 34/2014 regarding consumer rights in contracts concluded with professionals, the natural person Client has the right to withdraw from the contract, without stating a reason, within 30 calendar days from receiving the product.

Return Conditions:

  • Products must be returned in good condition, without signs of excessive use, intentional damage, or modifications;
  • Products must be accompanied by all accessories and documents received (manual, warranty certificate, if applicable);
  • Original packaging is not mandatory, but the product must be properly packed for transport.

The cost of return is fully borne by the Seller, according to the return policy available on the site.

Refunds will be made within a maximum of 5 calendar days from the receipt and verification of returned products, using the same payment method initially used (bank card, bank transfer, etc.).

Exceptions to the right of return, according to art. 16 of OUG 34/2014:

  • sealed products which cannot be returned for health protection or hygiene reasons if they have been unsealed by the consumer;
  • personalized products or products made at the Client's express request.

12. Warranties and Conformity

The products sold benefit from the legal warranty of conformity provided by Law no. 449/2003 and OUG no. 140/2021, for a period of 2 years from delivery for natural person consumers.

If the product shows conformity defects, the Client has the right to have the product repaired or replaced, and under the conditions provided by law, to a price reduction or contract termination.

SPRISE SRL cannot be held responsible for:

  • using the products for purposes other than those for which they were intended;
  • damage caused by improper use, negligence, or accidents;
  • normal wear and tear of the products.

13. Client's Obligations

The Client undertakes to:

  • provide correct, complete, and updated data when placing the order;
  • receive the package at the indicated delivery address;
  • check the integrity of the package upon receipt and report any visible damage to the courier;
  • use the site and products in accordance with the law and this document;
  • not engage in activities that may affect the functioning of the site or the rights of other users.

14. Intellectual Property Rights

The entire content of the website www.sprise.ro – including, but not limited to: texts, images, graphics, logos, product descriptions, design, and source code – is the property of SPRISE SRL or its partners and is protected by copyright and intellectual property legislation.

It is forbidden to reproduce, distribute, modify, publish, or use in any way the content of the site without the prior written consent of SPRISE SRL. Violation of these rights may lead to civil and criminal liability according to law.

15. Limitation of Liability

SPRISE SRL cannot be held responsible for:

  • errors or temporary interruptions in the functioning of the site caused by independent technical factors;
  • indirect damages resulting from the use or inability to use the products;
  • the content of third-party sites referred to by links on the site.

Products are sold exclusively on the territory of Romania.

SPRISE SRL reserves the right to refuse to process an order in justified situations, such as: incomplete or false contact details, repeated delivery refusals, reasonable suspicion of fraud, or when the Client has previously violated the Terms and Conditions.

16. Personal Data Protection

SPRISE SRL processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation. Data is used exclusively for:

  • processing and delivering orders;
  • issuing fiscal documents;
  • communicating with Clients regarding their orders;
  • fulfilling the Seller's legal obligations.

Clients have the right to access, rectify, erase, restrict processing, data portability, and object, according to GDPR. These rights can be exercised by email at comenzi@sprise.ro.

17. Complaints and Dispute Resolution

For any complaint or dissatisfaction related to products or services, the Client can contact SPRISE SRL by email at comenzi@sprise.ro. The Seller will respond within a maximum of 30 calendar days from receiving the complaint.

Alternative Dispute Resolution (ADR):

If the complaint is not resolved amicably, the consumer Client can resort to the following mechanisms:

  • National Authority for Consumer Protection (ANPC) – www.anpc.ro
  • European Online Dispute Resolution (ODR) Platform – https://ec.europa.eu/consumers/odr
  • ADR entities registered with the ANPC (according to Government Ordinance no. 38/2015)

18. Force Majeure

Neither party can be held liable for the non-execution of contractual obligations caused by force majeure events (natural disasters, armed conflicts, pandemics, governmental restrictions, etc.) or fortuitous events, according to the definitions in the Romanian Civil Code.

The affected party will notify the other party within 5 days of the event occurring.

19. Modification of Terms and Conditions

SPRISE SRL reserves the right to periodically update this document, without prior individual notification. Changes become effective upon publication on the site.

The version applicable to an order is the one in force at the time of placing that order. We recommend Clients to consult this document periodically to be aware of any changes.

20. Applicable Law and Jurisdiction

This document is governed by Romanian law. Any disputes will be resolved amicably, and failing that, by the competent courts in Romania, according to applicable legal provisions.

For consumers, special provisions regarding the jurisdiction of the courts of the consumer's domicile apply, according to European and national legislation.
